Terms of Service

By accessing or using the Alpha Pulsx platform (the "Service"), available at alphapulsx.com and any associated subdomains, applications, or services, you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, our Disclaimer, and our Refund Policy, all of which are incorporated herein by reference.

If you do not agree to all of these Terms, you must not access or use the Service. Your continued use of the Service following any modifications to these Terms constitutes your acceptance of such modifications.

Alpha Pulsx ("we," "us," "our," or the "Company") is operated under the business name "Alpha Pulsx" from the Province of British Columbia, Canada.

Alpha Pulsx is a financial signal analysis and research platform. The Service provides algorithmically generated trading signals, technical and fundamental analysis, market research notes, and related educational content for informational and educational purposes only.

The Service does NOT provide:

• Investment advice, financial advice, or trading advice
• Personalized recommendations tailored to your financial situation
• Portfolio management services
• Brokerage or order execution services
• Any guarantee or promise of financial returns

All signals, analysis, research notes, and content provided through the Service are generated by algorithmic systems based on technical analysis, fundamental data, and quantitative models. They are NOT a substitute for professional financial advice from a licensed financial advisor, broker-dealer, or investment professional.

To access certain features of the Service, you must create an account. When you create an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. By creating an account, you represent and warrant that you meet this age requirement.

No Professional Relationship: Creating an account does NOT establish any professional, advisory, fiduciary, or client relationship between you and Alpha Pulsx. Your use of the Service is on an arm's-length, informational basis only. We are not your financial advisor, broker, or investment professional.

Account Security: You are responsible for maintaining the confidentiality and strength of your password. You must use a strong, unique password and must not share your credentials with any third party. Alpha Pulsx shall not be liable for any loss or damage arising from unauthorized access to your account caused by your failure to maintain adequate password security.

We reserve the right to suspend or terminate your account at any time, for any reason, with or without notice, including but not limited to violation of these Terms.

Free Tier: Alpha Pulsx offers a free tier with limited features, including a limited number of signals per day, basic buy/sell/hold indicators, and price charts. The free tier does not include signal history, full research notes, options analysis, or other premium features.

Premium Tier: The Premium subscription provides full access to all platform features, including unlimited signals, institutional-grade research notes, options strategy analysis, signal history, multi-timeframe thesis, probability models, and position sizing tools.

Billing: Premium subscriptions are billed on a recurring basis — either monthly or quarterly, depending on the plan selected at checkout. All payments are processed securely through Stripe, our third-party payment processor. Alpha Pulsx does not directly store or handle your credit card or payment card information.

Auto-Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You will be charged the then-current subscription fee at the time of renewal.

Cancellation: You may cancel your subscription at any time through your Stripe billing portal, accessible from the Settings page. Upon cancellation, you will retain access to Premium features until the end of your current billing period. No partial refunds will be issued for unused time within a billing period.

Price Changes: We reserve the right to modify subscription pricing at any time. Any price changes will take effect at the start of your next billing cycle, and we will provide reasonable notice before any increase takes effect.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL ALPHA PULSX, ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ALPHA PULSX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF ALPHA PULSX ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE EXCEED THE TOTAL AMOUNT OF FEES ACTUALLY PAID BY YOU TO ALPHA PULSX DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100.00), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless Alpha Pulsx, its owners, operators, officers, directors, employees, contractors, agents, affiliates, and licensors from and against any and all claims, demands, actions, suits, proceedings, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

• Your use of the Service or any Content provided through the Service
• Any trading or investment decisions you make based on or informed by the Service
• Your violation of these Terms or any applicable law or regulation
• Your violation of any rights of any third party
• Any content or information you submit or transmit through the Service
• Your negligence or willful misconduct

This indemnification obligation shall survive the termination of your account and these Terms.

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALPHA PULSX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, ALPHA PULSX DOES NOT WARRANT THAT: (A) THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (B) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (D) ANY ERRORS IN THE SERVICE WILL BE CORRECTED; OR (E) THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

NO GUARANTEE OF AVAILABILITY: We do not guarantee uptime, availability, or uninterrupted access to the Service. The Service may be temporarily unavailable due to maintenance, updates, server failures, third-party service disruptions, or circumstances beyond our control. Alpha Pulsx shall not be liable for any loss, damage, or inconvenience caused by your inability to access or use the Service at any time.

Informal Resolution: Before initiating any formal dispute resolution process, you agree to first contact us at alphapulsx@gmail.com and attempt to resolve the dispute informally for at least thirty (30) days.

Binding Arbitration: If the dispute cannot be resolved informally, any controversy, claim, or dispute arising out of or relating to these Terms, the Service, or your relationship with Alpha Pulsx shall be resolved by binding arbitration conducted in the Province of British Columbia, Canada, in accordance with the arbitration rules of the British Columbia International Commercial Arbitration Centre (BCICAC) or its successor body, or such other arbitration body as may be agreed upon by the parties.

Class Action Waiver: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Alpha Pulsx.

Limitation Period: Any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred.

These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

To the extent that arbitration is not applicable, you agree that any judicial proceedings will be brought in and you hereby consent to the exclusive jurisdiction of the courts of the Province of British Columbia, Canada.

All content, features, functionality, software, text, graphics, logos, trademarks, service marks, algorithms, signal methodologies, research notes, and other intellectual property displayed or available on the Service (collectively, "Intellectual Property") are owned by Alpha Pulsx or its licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell, or exploit any Content or Intellectual Property without our prior written consent.

You may not use any automated means (including bots, scrapers, or spiders) to access the Service or collect Content without our prior written permission.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Reasons for termination may include, but are not limited to:

• Violation of these Terms
• Conduct that we determine is harmful to other users, the Service, or our business
• Fraudulent, abusive, or unlawful activity
• Non-payment of applicable fees
• Extended periods of inactivity

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to: the Financial Disclaimer, Limitation of Liability, Indemnification, Warranty Disclaimer, Arbitration, and Governing Law sections.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if such modification is not possible, such provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, Disclaimer, and Refund Policy, constitute the entire agreement between you and Alpha Pulsx regarding your use of the Service and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral, concerning the Service.

No waiver of any provision of these Terms by Alpha Pulsx shall be deemed a further or continuing waiver of such provision or a waiver of any other provision.

Alpha Pulsx shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, epidemics, pandemics, fire, flood, earthquake, war, terrorism, civil unrest, labor disputes, strikes, government actions or orders, sanctions, embargoes, power outages, internet or telecommunications failures, cyberattacks, denial-of-service attacks, failures of third-party service providers (including but not limited to hosting providers, data providers, and payment processors), or any other event or circumstance beyond our reasonable control (each a "Force Majeure Event").

During any Force Majeure Event, our obligations under these Terms shall be suspended for the duration of the event, and we shall not be liable for any losses, damages, or inconvenience caused by such suspension. We will use reasonable efforts to resume performance as soon as practicable after the Force Majeure Event ceases.

You may not assign, transfer, or delegate your rights or obligations under these Terms to any third party without the prior written consent of Alpha Pulsx. Any attempted assignment in violation of this provision shall be null and void.

Alpha Pulsx may freely assign, transfer, or delegate its rights and obligations under these Terms, in whole or in part, to any third party, including but not limited to a successor entity in connection with a merger, acquisition, reorganization, sale of assets, or similar transaction, without notice to you or your consent. Upon any such assignment, the assignee shall assume all of our obligations under these Terms.

From time to time, Alpha Pulsx may offer features, tools, signals, or functionality that are designated as "beta," "experimental," "preview," or similar (collectively, "Beta Features"). Beta Features are provided on an as-is basis for evaluation purposes only.

Beta Features may be incomplete, contain errors, or be discontinued at any time without notice. By using any Beta Feature, you acknowledge and agree that: (a) the Beta Feature may not perform as expected; (b) data or results produced by the Beta Feature may be inaccurate; and (c) Alpha Pulsx assumes no liability for any losses or damages arising from your use of or reliance on any Beta Feature.

We reserve the right to modify these Terms at any time at our sole discretion. We will notify you of material changes by updating the "Last updated" date at the top of this page. Your continued use of the Service after any such changes constitutes your acceptance of the modified Terms.
